Terms and Conditions - General Terms and Conditions for Consulting, Seminars and Keynote Lectures

These terms and conditions regulate the implementation of consulting services, seminars and keynote lectures in accordance with the provisions below.

1 validity, content and process

1.1 business partner

For the business relationship between (Simone Janson | Best of HR – Berufebilder.de®, Benzenbergstrasse 1a, 40219 Düsseldorf, editorial staff@berufebilder.de) (hereinafter “Contractor”) and the customer (hereinafter “Customer”), the following general terms and conditions apply exclusively in the version valid at the time of the order.

1.2 validity

These terms and conditions regulate the implementation of consulting services, seminars and keynote lectures by the contractor in accordance with the following provisions. These conditions apply to all contracts for the implementation of consultations, lectures and seminars - hereinafter referred to as “events” - in particular for contracts for the implementation of in-house seminars and consultations.

They apply in particular to the booking of consultant packages and lectures on the site https://berufebilder.de/about_us/.

1.3 content

The exact content of the event will be determined in close consultation with the customer. The customer will communicate his expectations and requirements in advance to a sufficient extent.

1.4 information obligation of the customer

The customer shall provide the contractor in good time prior to the event with all information necessary for the design of the seminar, in particular with regard to the number, previous knowledge and requirements of the participants.

1.5 The format

Unless otherwise agreed, the events have the following format:

  • Lecture: 30 minutes without a break
  • Webinar: A time-hour without a break
  • Half-day seminar: four hours, breaks by appointment
  • Day seminar: Eight hours, breaks by appointment

2 seminar venue and equipment

2.2 rooms of the customer

If the event takes place in the customer's premises, the customer will be able to provide the necessary equipment for the premises at his expense so that the event can be carried out in a constructive and efficient manner.

2.3 The following equipment is required for the proper performance of the event:

  • For all events screen, LCD projector (beamer) or a large monitor, flipchart or whiteboard, fast internet connection (DSL, WLAN).
  • After consultation, a PC with operating system MS Windows XP or MacOS X or higher and preinstalled presentation software (Powerpoint) adapted to the use with the external devices.
  • For interactive events with exercise units, 1 PC or 1 emergency per participant or work groupebook with fast internet connection (DSL, WLAN), operating system MS Windows XP or MacOS X or higher.
  • In the case of webinars, the customer himself bears hardship for the correct equipment of his PCebooks or Apple Macintosh with the Adobe Connect Sorge software used for the webinar.

The customer is responsible for delays due to inadequate equipment.

2.4 rooms of third parties

If the training takes place in rooms of third parties, the customer is responsible for the reservation and booking of the seminar room. The seminar room must contain the equipment listed under 2.3.

2.5 participation of the customer

The customer shall cooperate at his own expense. This also includes the assumption of costs for claims by third parties, costs for the seminar room, Internet, PCs or emergencyebooks, LCD projector (beamer), catering and, if necessary, accommodation for the participants.

3 services

3.1 The seminar price includes the following services, unless otherwise agreed:

  • Moderation of the seminar event.
  • Mediation of the seminar content given in the invitation to tender.
  • Conference and seminar technology as listed under 2.3.
  • Seminar accompanying material.

3.2 duty of cooperation of the customer

The customer supports the contractor in the fulfillment of the contractually agreed services. This includes in particular the timely provision of information, as far as the cooperation of the customer so requires.

4 confidentiality

4.1 obligations of the contractor

The contractor undertakes to keep confidential all business and trade secrets of the customer that become known during the activity during and after termination of the contractual relationship.

4.2 confidentiality agreement

In addition, the Parties agree to maintain confidentiality as to the content of this Agreement and the lessons learned in its performance.

5 courseware

5.1 rights

The client receives presentations, concepts and basic ideas during the event. All rights remain with the contractor.

5.2 determination

The documents created and the training materials provided are only intended for use by the customer and the employees commissioned by him in accordance with the order. Distribution to third parties and reproduction for the purpose of transfer to third parties is only possible with the prior written consent of the contractor.

5.3 resale

A resale of concepts, approaches, documents and basic ideas is expressly prohibited.

6 payment agreement

6.1 obligations of the customer

The customer bears against evidence all expenses such as travel and accommodation expenses, expenses and incurred in the context of the contract remuneration claims of third parties in the amount of the actual effort.

6.2 arrival

The journey takes place with the DB Bahn 2. Class and if necessary by taxi.

6.3 overnight stay

The cost of hotel accommodation will not exceed 150,00 € per night for a single room. Except for trade fairs, congresses or other events. For stays that last longer than four weeks en bloc, it is intended to negotiate a special tariff in advance with a hotel or apartment hotel. The customer will possibly point out the possibility of using company tariffs of the customer.

6.4 compensation

The compensation of the event is always based on time spent in lessons for 60 minutes. Decisive for the remuneration of the time expenditure are the contractually agreed lessons and the respectively valid fee rates of the contractor, unless otherwise agreed. The contractor is entitled to amend or supplement the fee rates underlying the agreements in accordance with § 315 BGB (reasonable discretion).

6.5 due date

Fees and expenses of the contractor are due immediately after receipt of invoice and without deduction.

6.6 amount of compensation

If the parties have not reached an agreement on the payment of a service, the provision of which the customer could only expect to receive in return for a fee, the customer must pay the usual fee for this service. In case of doubt, the remuneration rates required by the contractor for his services are considered normal.

6.7 sales tax

All contractually agreed payments are exclusive of statutory sales tax.

7 Early Termination

7.1 cancellation

When canceling the order by the customer are first of all sides to use all possibilities for finding alternative solutions.

If this does not happen and the cancellation is made within 14 days prior to the seminar, 50% of the agreed fee and 100% of non-cancelable expenses for third party services (eg train tickets) shall be paid.

7.2 deadlines

If the cancellation is made less than three days before the execution, the customer must pay all fees and expenses.

7.3 Extraordinary termination

Regardless of the end of the contract through the passage of time, the possibility of an extraordinary termination by the customer for good cause remains unaffected. The extraordinary dismissal for an important reason requires the written form.

7.4. Cancellation for good cause

If the contractor must cancel the event for important reasons, there is a right to a full refund of the participation fee. Claims beyond that do not exist.
